Please read these Terms and Conditions carefully. If you do not agree to these Terms and Conditions, do not sign up for or participate in the Moments Membership Program (the “Program”). These Terms and Conditions form an agreement between each participant in the Program (a “Member”) and Kodak Alaris Inc. By participating in the Moments Membership Program (the “Program”), you agree to be bound by these Terms and Conditions and all other terms incorporated herein by reference.
To become a Member, you must complete and submit the Program sign-up form, which includes acceptance of these Terms and Conditions and the Kodak Moments Privacy Policy. In order to participate, you will be asked to provide certain information that we require to administer the program, such as your first name, last name, and email address.
References to the “Terms and Conditions” include these Terms and Conditions and any other terms that are incorporated by reference, including, without limitation, the Kodak Moments Privacy Policy.
Information you provide to us in connection with the Program will not be sold to any third party, and will only be used to provide you with the Program, and, to the extent you have not opted out, to deliver certain marketing communications related to exclusive offers, latest news, product inspiration, new features, and benefits. All information you provide will be used in strict compliance with our posted Privacy Policy, which can be accessed at kodakmoments.kodakalaris.com/mob/privacy.aspx?language=en_us.
The Program is open to U.S. residents at least 16 years old. If Member is between 16 and 18 years old, Member agrees he or she has obtained permission from Member's parent or legal guardian to be a Member of the Program. Program membership is only available to individuals for personal use. Commercial use is prohibited. Program membership is not available to businesses or legal entities.
Participants in the Program will receive a 10% discount on orders from any Kodak Moments direct-to-consumer platform, including our website KodakMoments.com.
After signing up, the 10% discount will be automatically applied to Kodak Moments direct-to-consumer orders. The 10% discount will be calculated before tax and shipping costs and after any other applicable deductions or promotions. The Member discount is not valid at retail locations or on third-party platforms (such as Amazon). The Program may not be transferred, assigned or redeemed for any value other than as set forth in these Terms and Conditions.
From time to time, Member promotions, special offers and other communications may be sent to you by email or push notifications. To receive these marketing communications, you must remain opted-in. If you would like to opt-out of these marketing communications, please visit email.kodakmoments.com/p/profile/search/member-unsub/index.
If you choose to opt out of marketing communications you will still receive the 10% discount described herein, but we will not be able to provide you with information about exclusive offers, new features, news, events, and services. Please be aware that even if you opt out of marketing communications, we will still send you communications regarding applicable updates to the Program and Member-specific transactions.

Please note that it may take up to 10 business days to process opt-out and membership cancellation requests.
AS CONSIDERATION FOR ACCESS TO THE PROGRAM, MEMBER AGREES THAT KODAK ALARIS IS NOT LIABLE TO MEMBER IN ANY MANNER WHATSOEVER FOR DECISIONS MEMBER MAY MAKE WITH RESPECT TO THE PROGRAM. MEMBER ALSO AGREES THAT COMPANY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO MEMBER'S USE OF AND ACCESS TO THE PROGRAM IS LIMITED A REFUND OF THE PURCHASE PRICE OF ANY ITEMS MEMBER PURCHASED FROM COMPANY IN THE APPLICABLE TRANSACTION, IF ANY. COMPANY SHALL NOT IN ANY CASE BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, NOR SHALL COMPANY BE RESPONSIBLE FOR ANY DAMAGES WHATSOEVER THAT RESULT FROM MISTAKES, OMISSIONS, ERRORS, DEFECTS OR ACTS OF GOD, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF MEMBER IS DISSATISFIED WITH THESE TERMS AND CONDITIONS OR WITH THE PROGRAM, MEMBER'S SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE PARTICIPATING IN THE PROGRAM.
If you breach any provision of these Terms and Conditions, you may no longer participate in the Program and we may terminate your membership in the Program.
We may change these Terms and Conditions, or any terms incorporated herein by reference at any time, for any reason, without prior written notice.
These Terms and Conditions shall be governed by and shall be construed in accordance with the laws of the State of New York, without respect to its conflict of laws rules.
If any part of these Terms and Conditions are ruled to be unlawful, void or for any reason unenforceable, then such part shall be deemed severable from these Terms and Conditions and shall be eliminated or limited to the minimum extent necessary. The remainder of these Terms and Conditions, including any revised portions, shall remain and be in full force and effect.
The Program is void where prohibited, taxed, or restricted by applicable law.
